These Terms of Use (“Terms”) govern your access to and use of the SceneSeed mobile application, website, features, and related services, including AI-powered creative generation tools (collectively, the “Services”).
In these Terms, “SceneSeed,” “we,” “us,” and “our” refer to the operator of the SceneSeed application.
By downloading, accessing, or using the Services, you agree to these Terms. Our Privacy Policy separately explains how we process information. Acceptance of these Terms does not replace any separate consent required for tracking or other data processing.
If you do not agree to these Terms, do not use the Services. If you use the Services on behalf of another person or organization, you represent that you have authority to accept these Terms on their behalf.
1. Eligibility
You must have the legal capacity required to enter into these Terms.
SceneSeed is not directed to children under 13 or below any higher minimum age required by applicable law. If you are above that minimum age but have not reached the age of legal majority, you may use the Services only with the permission and involvement of a parent or legal guardian where required.
2. The Services
SceneSeed provides AI-powered tools that allow you to submit images and text descriptions, explore creative styles, generate visual content, and save, download, or share results.
Some features require a subscription, diamonds, or another entitlement described in the app.
We may update, modify, suspend, or discontinue features, subject to applicable law and our obligations for paid services. Material changes affecting purchased benefits will be communicated where required.
We do not guarantee that a generated result will be accurate, unique, suitable for a particular purpose, or identical to your expectations.
3. Access and Security
You are responsible for protecting your device and any credentials used to access the Services.
You must not access another user’s works, purchase records, subscription benefits, or diamond balance without authorization. Contact us promptly if you suspect unauthorized use.
We associate purchases, subscription entitlements, diamond balances, and consumption records with the relevant user to provide the correct benefits. Our Privacy Policy explains the processing of these records.
4. User Content
“User Content” means text, prompts, photographs, videos, artwork, audio, files, messages, or other materials you submit through the Services.
4.1 Your Responsibilities
You are responsible for your User Content and represent that:

• You have the rights necessary to submit and use it.
• You have obtained any required permissions from people appearing in it.
• It does not infringe intellectual-property, privacy, publicity, or other rights.
• It complies with applicable law.
• It does not contain malicious code or materials intended to disrupt the Services.

4.2 Limited License
You retain your rights in User Content.
You grant SceneSeed a limited, worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, process, modify, and display User Content only as reasonably necessary to:

• Provide the requested generation features.
• Generate, deliver, store, and display results.
• Maintain service security and prevent abuse.
• Investigate technical problems.
• Fulfill applicable legal obligations.

This license continues only for as long as necessary for those purposes. Retained copies remain subject to our Privacy Policy and applicable deletion and retention requirements.
This license does not authorize unrelated commercial exploitation of your private content. These Terms do not grant permission to use private User Content for advertising targeting or training general-purpose AI models. Any materially different use requires separate disclosure and authorization where required by law.
5. AI-Generated Content
“Generated Content” means images, videos, and other materials produced by the Services in response to your inputs.
AI systems may produce results that are inaccurate, incomplete, unexpected, offensive, or unsuitable. Results may contain visual artifacts, errors, metadata, labels, or watermarks. Different users may receive similar or identical results.
We do not guarantee that Generated Content is original, non-infringing, or eligible for copyright protection.
You must review Generated Content before using, publishing, selling, or sharing it and ensure that your intended use is lawful and respects the rights of others.
Generated Content does not constitute legal, medical, financial, or other professional advice.
6. Rights in Generated Content
To the extent permitted by applicable law, and subject to third-party rights and limitations applicable to AI-generated works, SceneSeed does not claim ownership of Generated Content created from your inputs.
You may use Generated Content for lawful purposes in accordance with these Terms. We do not guarantee exclusive rights or copyright protection.
The models, software, templates, trademarks, designs, and other materials forming part of the Services remain the property of their respective owners. Use of Generated Content does not transfer ownership of those materials or the Services.
7. Acceptable Use
You may use the Services only for lawful and authorized purposes.
You must not:

• Infringe intellectual-property, privacy, publicity, or other rights.
• Create or distribute sexual exploitation material involving minors.
• Create non-consensual intimate imagery.
• Use deceptive impersonation to defraud or harm others.
• Harass, threaten, stalk, or exploit another person.
• Promote terrorism, serious violence, or unlawful activity.
• Create malware, phishing materials, or content facilitating wrongdoing.
• Submit personal, confidential, or sensitive information without authorization.
• Use facial or biometric information to identify, authenticate, track, or surveil people without authorization.
• Bypass payment mechanisms, usage limits, or security controls.
• Manipulate purchases, subscription entitlements, or diamond balances.
• Reverse engineer or extract source code or model weights, except where applicable law or an applicable license permits.
• Scrape, resell, sublicense, or commercially exploit the Services without authorization.
• Interfere with service operation or access the Services through unauthorized automated means.
• Use the Services to develop or train a competing service without written permission.

We may restrict access to content or features when reasonably necessary to address violations of these Terms or applicable law.
8. Intellectual Property
The Services, including their software, interfaces, designs, trademarks, logos, text, graphics, models, and databases, are protected by applicable intellectual-property laws.
Except for rights expressly granted, these Terms do not transfer any ownership or license interest to you.
You may not use SceneSeed’s name or branding without prior written permission, except where permitted by law.
9. Feedback
If you voluntarily provide suggestions or feedback about the Services, you grant us a worldwide, perpetual, non-exclusive, royalty-free right to use, reproduce, modify, and incorporate that feedback into the Services without compensation.
This permission does not override the privacy protections applicable to personal information or private creative content included in a communication.
10. Subscriptions, Purchases, and Diamonds10.1 Available Purchases
SceneSeed offers subscriptions and one-time consumable diamond purchases through Apple’s App Store.
Before you confirm a purchase, the purchase screen displays the applicable price, billing period, included benefits, and any introductory offer. Your purchase provides the benefits described in that offer.
Apple processes payments under its applicable terms. We do not receive your full payment-card number, card security code, or bank-account credentials.
10.2 Auto-Renewable Subscriptions
Auto-renewable subscriptions continue for the selected billing period and renew automatically unless canceled before the applicable renewal.
Payment is charged to your Apple Account under the terms shown during purchase. Renewal charges and their timing are handled by Apple.
A subscription provides access to the features and benefits specified in the selected offer while the entitlement remains active. It does not include unlimited generation, unlimited diamonds, or permanent access unless the offer expressly states otherwise.
Any diamond allocation included with a subscription is provided according to the quantity and schedule displayed in the offer.
10.3 Trials and Introductory Offers
If a free trial or introductory offer is available, its duration, eligibility requirements, and subsequent price are shown before purchase.
Unless canceled as required, the subscription continues at the disclosed renewal price after the offer ends. To avoid renewal following a trial, cancel at least 24 hours before the trial ends.
Trial access following cancellation is governed by Apple’s applicable rules. We do not guarantee that a canceled trial remains available for its entire original duration.
10.4 Managing and Canceling Subscriptions
You can manage or cancel your subscription through:
iOS Settings → Your Name → Subscriptions → SceneSeed
Cancellation stops future renewals. Access ordinarily continues until the end of the current paid period, subject to Apple’s handling of refunds, revocations, and special offers.
Deleting the app, deleting content, requesting account or data deletion, or contacting our support team does not by itself cancel an Apple subscription. Manage cancellation through Apple.
10.5 Subscription Changes and Billing Issues
Changes to subscription plans, billing periods, and prices are handled through Apple’s applicable procedures and the information presented to you.
We will provide notices and obtain acceptance of price changes where required. If a renewal payment fails or a subscription expires, paid benefits may become unavailable according to the entitlement status reported by Apple.
Changes do not remove mandatory consumer rights or retrospectively alter completed purchases.
10.6 One-Time Diamond Purchases
One-time diamond purchases are separate transactions initiated by you and do not themselves create a subscription or recurring charge.
After successful purchase verification, the corresponding quantity of diamonds is credited to you.
Diamonds are consumed when you use the applicable generation features. The diamond cost is displayed before you submit a generation request.
We store purchase records, balances, and consumption records to verify purchases, issue diamonds, deduct usage, and resolve discrepancies.
10.7 Diamond Conditions
Diamonds purchased through in-app purchase do not expire merely through the passage of time.
Diamonds are virtual units for use within SceneSeed. They are not a bank deposit, investment, or legal currency and cannot be exchanged for cash except through an applicable refund or where required by law.
You may not sell or transfer diamonds unless SceneSeed expressly provides that functionality.
Changes to generation costs apply to future requests and are disclosed before the affected request. They do not change deductions already completed.
The end of a subscription may end access to subscription-only features, but it does not by itself cause separately purchased, unused diamonds to expire.
10.8 Restoring Purchases and Access
Eligible active subscription entitlements can be restored or revalidated using the Apple Account associated with the purchase and the app’s purchase-restoration functionality.
Restoring a subscription does not duplicate previously issued diamonds or replenish consumed diamonds.
Consumable diamond purchases are not restored in the same manner as subscriptions. Existing server-side balances depend on identifying the correct SceneSeed user record. Contact support if an existing balance or entitlement is missing.
10.9 Purchase and Generation Issues
If a purchase does not activate, diamonds are not credited, a balance appears incorrect, or generation fails after deduction, contact:

Include the relevant transaction or generation reference where available. We will investigate and address verified crediting, deduction, or entitlement errors.
Do not send your Apple password or full payment-card details.
A generated result differing from your expectations is distinct from a technical failure. This distinction does not limit mandatory consumer rights.
10.10 Refunds
Refund requests for App Store payments are handled through Apple under its policies and applicable law.
Cancellation of a subscription does not automatically refund an existing charge. Deleting a generated work does not automatically restore consumed diamonds or refund a purchase.
If Apple refunds or revokes a transaction, the corresponding entitlement may be adjusted to reflect that transaction status, subject to applicable law.
Nothing in these Terms requires you to waive refund rights or other protections that cannot lawfully be excluded.
11. AI Models and External Services
SceneSeed uses AI models that may be developed or licensed by other organizations. Use of a model does not give SceneSeed ownership of it and does not necessarily mean its developer receives your content.
If an external AI processing service is used, content processing must follow the disclosures and permission requirements described in our Privacy Policy.
Apple provides App Store distribution, billing, and subscription management. Other providers may support service infrastructure or the advertising measurement described in our Privacy Policy.
Providers’ involvement does not authorize unrelated use of your private creative content. Applicable third-party rights and service terms remain in effect, without excluding our responsibilities under applicable law.
12. Privacy, IDFA, and Tracking Choices12.1 Privacy Policy
Our Privacy Policy explains how we process creative inputs, generated works, user identifiers, device identifiers, purchases, subscriptions, diamond records, and support communications.

12.2 Tracking Permission
SceneSeed supports use of Apple’s Identifier for Advertisers (“IDFA”) for advertising attribution and campaign measurement as described in the Privacy Policy.
Before accessing IDFA or engaging in tracking that requires authorization, we request permission through Apple’s App Tracking Transparency framework.
Accepting these Terms, purchasing diamonds, or subscribing does not constitute permission to track you.
If you decline tracking permission, we do not use alternative identifiers or device fingerprinting to bypass that choice. Declining permission does not prevent access to features otherwise available under your purchases or subscription.
You can manage tracking permission through:

Any additional consent required by applicable law is obtained separately.
Your private photos, videos, and prompts are not authorized for advertising targeting by these Terms.
12.3 Server-Stored Content
Generated works are stored on our servers for delivery and access. Purchase, subscription, and diamond records are associated with the relevant user to manage entitlements and balances.
You may save local copies of generated works. Deleting a local copy or uninstalling SceneSeed does not automatically delete server copies.
You may request deletion by contacting query@shazatole.com. Retention and deletion are governed by the Privacy Policy and applicable law.
These Terms do not promise permanent or unlimited cloud storage. Keep local copies of works you wish to retain. This does not limit our obligations concerning paid services.
13. Availability and Service Changes
The Services may be affected by maintenance, updates, network conditions, service-provider availability, or technical failures.
We do not guarantee uninterrupted or error-free availability. We may temporarily restrict access where reasonably necessary to protect users or systems.
Where a material change or discontinuation affects an active paid service, we will provide any notice and remedy required by applicable law. Changes do not automatically extinguish claims relating to undelivered paid benefits.
14. Disclaimers
To the maximum extent permitted by law, the Services and Generated Content are provided on an “as is” and “as available” basis.
We disclaim warranties to the extent they may lawfully be excluded, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.
We do not guarantee that the Services will meet every requirement, that generated results will be accurate or original, or that every defect will be corrected.
Nothing in these Terms excludes warranties, statutory guarantees, or consumer rights that cannot lawfully be excluded.
15. Limitation of Liability
To the maximum extent permitted by law, SceneSeed and its officers, directors, employees, affiliates, and licensors are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or business opportunities arising from use of the Services.
To the maximum extent permitted by law, our aggregate liability will not exceed the greater of:

1. The amount you paid for the Services during the twelve months before the event giving rise to the claim.
2. One hundred U.S. dollars (US $100).

These limitations do not apply to liability that cannot legally be limited or excluded and do not remove mandatory remedies for defective or undelivered paid services.
16. Indemnification
To the extent permitted by applicable law, you agree to indemnify SceneSeed and its officers, directors, employees, affiliates, and licensors against third-party claims, losses, and reasonable expenses arising from your unlawful content, infringement of others’ rights, or material violation of these Terms.
This obligation does not apply to the extent a claim results from our own breach, negligence, or unlawful conduct.
17. Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate access where reasonably necessary because of a material breach, fraud, security risk, legal requirement, or discontinuation of the Services.
Where appropriate and legally required, we will provide notice and an opportunity to address the issue.
Termination does not automatically cancel an Apple subscription. You should manage renewal through Apple as described in Section 10.
Suspension, termination, or discontinuation does not automatically eliminate rights relating to unused purchased diamonds or undelivered subscription benefits. Such matters remain subject to applicable law and Apple’s purchase and refund procedures.
Provisions that by their nature should survive termination remain effective, including ownership, payment obligations already incurred, liability, dispute resolution, and applicable content-license provisions.
18. Applicable Law and Disputes
Applicable law and mandatory consumer-protection rules govern these Terms.
Disputes will be handled by courts or other dispute-resolution bodies with jurisdiction under applicable law.
Nothing in these Terms deprives you of protections or rights that cannot lawfully be waived, including applicable rights under the laws of your place of residence.
19. Changes to These Terms
We may update these Terms to reflect changes in features, purchasing arrangements, or legal requirements.
We will update the date above and provide additional notice of material changes where required. If a change requires your express agreement or separate consent, we will obtain it.
Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law. Changes do not retroactively remove accrued rights or replace the separate permission required for tracking.
20. General Terms
If a provision is invalid or unenforceable, the remaining provisions remain effective.
Failure to enforce a provision does not waive the right to enforce it later.
These Terms and applicable purchase or feature-specific conditions govern use of the Services. Our Privacy Policy separately explains information processing.
Purchase-specific conditions cannot override mandatory consumer rights. Restrictions affecting a purchase must be disclosed before purchase.
You may not transfer these Terms without our consent except where applicable law permits. We may transfer our rights and obligations in connection with a merger, reorganization, or sale, subject to applicable law and without reducing mandatory consumer protections.
21. Apple App Store
The app license applicable to your download, including Apple’s Standard End User License Agreement where applicable, continues to apply. These Terms supplement the applicable app license and do not remove rights granted by it.
If you download SceneSeed through Apple’s App Store:

• These Terms are between you and SceneSeed, not Apple.
• SceneSeed is responsible for the Services and their content.
• Apple has no obligation to provide app maintenance or support.
• SceneSeed is responsible for applicable product, consumer-protection, privacy, and intellectual-property claims concerning the app to the extent required by law.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce applicable provisions.
• Your use must comply with Apple’s applicable terms and usage rules.

Apple’s billing, subscription, and refund procedures continue to apply to App Store transactions.
